Avibras Indústria Aeroespacial S.A. – Under Judicial Reorganisation (‘AVIBRAS’ or ‘Company’), a leading Brazilian defence company in Latin America and the Southern Hemisphere, recognised worldwide for its mastery of critical propulsion technologies, systems integration and the manufacture of missiles and satellite launchers, for its advanced industrial capabilities and products, systems and services, as well as for its role in the development and manufacture of special vehicles for military purposes, rockets, missiles and defence systems, hereby informs its employees and the market that:
Avibras has a new controlling shareholder, according to a court decision registered with the Board of Trade of the State of São Paulo (JUCESP). In line with the change in Avibras' shareholding control, through the adoption of the appropriate corporate measures, the Company will now be managed by Fábio Guimarães Leite, who will be responsible for leading the transition in the company's restructuring process (‘Restructuring’).
The new controlling shareholder is committed to managing the Company in accordance with the guidelines of the Judicial Reorganisation Plan approved by the Creditors at the General Creditors' Meeting on 26 May 2025. The execution of the plan is fundamental to Avibras' operational and financial recovery.
In this context, without prejudice to the procedural measures for the full and regular implementation of all the effects of the plan, the Company will immediately implement the preliminary acts and procedures for the Restructuring, which comprise the conditions precedent to the effective implementation of the Restructuring, such as:
- Due diligence on events, circumstances, changes, developments, occurrences or states of facts that have not been indicated in the Monthly Activity Reports;
- Execution of a new collective labor agreement with the Union of Workers in the Metal, Mechanical and Electrical Material Industries of São José dos Campos and Region;
- Adherence of the National Bank for Economic and Social Development (BNDES) and the Financier of Studies and Projects (FINEP) to the option of Supporting Creditor with Real Guarantee;
- Confirmation of market demands, especially with the national Armed Forces during the first years of operation;
- Signing of an agreement with the Attorney General's Office of the National Treasury for the restructuring and regularization of the Company's tax situation.
The restructuring represents a historic opportunity to build a new, strong Avibras, with new governance, political stability and a capital structure aligned with a long-term vision, focused on the best interests of its customers, its technical staff and Brazil.
